Checklist

Post-formation LLC checklist

Forming the LLC was the first filing, not the last. The duties that keep a company in good standing are spread across five guides on this site. This page collects them into one list you can work through, tick off, and print. Every item names the guide it came from, so the full explanation is one click away.

Work it in order the first time. After that, most owners only revisit the first two items each cycle, the report and the agent, plus the others when something changes: new owners, a new state, or a decision to close.

  • Record every state where the LLC is registered, one calendar line per state with the filing label, the fee, and the due rule.
  • Copy the exact due rule from the official source. Your state page on this site prints the label and due rule from the checked record.
  • Set a reminder 45 days before the deadline.
  • Confirm the registered agent and address before you file.
  • Save the state confirmation, and schedule the next cycle as soon as the current filing is confirmed.

How this varies: The filing may be called an annual report, a biennial report, a statement of information, or an entity tax, and some states have no recurring report at all. Fees, forms, and due dates differ in every state.

  • Confirm the agent's address meets your state's rules before you rely on it.
  • Set a same-day routine for documents the agent receives, and keep a log of papers received and deadlines carried.
  • If you change agents, file the change before the old arrangement ends, and update every state registration the change affects.
  • Save the state confirmation for each agent filing.
  • If you pay for an agent, budget the renewal price, not only an introductory quote, and calendar the state report separately: the agent service does not file it unless the agreement says so.

How this varies: Who may serve, the address rules, and the form for changing agents differ by state.

  • Open the current FinCEN beneficial ownership information page and confirm whether your company is a reporting company or exempt.
  • Record the date you checked.
  • Re-check after any change in ownership or control.
  • Keep company ownership records current, and make sure they agree with the operating agreement.
  • Use only official or verified channels for identity documents if a filing is required.

How this varies: This duty is federal, not state by state. Status turns on how and where the company was formed and on the current FinCEN rule; the source guide tracks the rule and the date it was last checked.

  • Write down the facts that place the business in the new state: location, employees, property, repeated work.
  • Read the doing business test in the new state's own statute, not a summary written for another state.
  • Confirm the formation state record shows the company in good standing, and appoint a registered agent with a street address in the new state.
  • File the application with the fee and keep the stamped copy or online confirmation.
  • Calendar the new state's report, fee, and due rule beside the formation state entries.
  • File a withdrawal in the new state when the activity there ends.

How this varies: Each state defines doing business in its own statute, fees and report cycles differ, and some states add extra steps after registration.

  • Record the owners' decision to close.
  • List debts, contracts, employees, and tax accounts, and settle or provide for debts before owner distributions.
  • Stop new obligations after the dissolution decision.
  • File the state dissolution and withdraw the foreign registrations.
  • Complete final tax and payroll duties, close accounts, cancel licenses and agent service with confirmations, and archive the records with a named record holder.

How this varies: Dissolution forms, clearance steps, and record-keeping periods differ by state, and foreign withdrawals are filed in each state where the company registered.

Where each item comes from

This checklist adds no new duties. It assembles the checklists already published in the annual report guide, the registered agent guide, the BOI and FinCEN status guide, the foreign registration guide, and the dissolution guide. If a line here and a guide ever differ, follow the guide and the official source it links to.

Still deciding the numbers?

The recurring charges behind the first item are priced state by state in the LLC True Cost Calculator, and your own state's filing fee, office, and due rule are on its state page. Price the duty before you calendar it, so the reminder carries the right amount. When the amount is set, the annual compliance calendar turns that same recorded due rule into a printable year of deadlines for your state and formation month.
