1. Step 1. Choose the legal name Search the entity records held by your state filing office and check the state name rules before printing cards, signing a lease, or opening accounts. Find your office in the filing offices directory.
2. Step 2. Choose the registered agent The agent needs a qualified address in the formation state and must be available during business hours to receive official papers. Decide whether that will be you, another eligible person, or a paid service. Compare paid quotes in the registered agent worksheet.
3. Step 3. File the formation document Submit the Articles of Organization or Certificate of Formation through the official state channel and pay the state filing fee shown on your state page. Keep the stamped or confirmed copy.
4. Step 4. Write the operating agreement Record owners, contributions, authority, money rules, and exit terms. Keep it with company records even if the state does not collect it.
5. Step 5. Get tax and bank accounts in order Apply for an EIN when required, register for the state taxes that apply to your activity, open business banking, and separate personal money from company money from day one.
6. Step 6. Check licenses and permits Confirm the local business license and any industry permits for the place the business actually operates, which can differ from the formation state.
7. Step 7. Calendar the recurring charge Add the recurring report, statement, or tax from your state page to a calendar with a reminder well before the deadline, and save the state confirmation after each filing.
